Please read carefully. By using AtriaOS (and related services), you agree to these terms, including restrictions on copying, reverse engineering, and misuse of our name and marks.

1. Agreement

By using AtriaOS, documentation, updates, and services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not access or use the Service.

2. Eligibility; Authority

You represent that you are legally able to form a binding agreement and that you have authority to bind your organization (if applicable). You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations.

3. Limited License to Use

Subject to your compliance with these Terms, AtriaOS (“we,” “us,” or “our”) grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business operations during the term of your agreement or subscription (if any).

4. License Restrictions (No Replication / No Reverse Engineering)

You must not, and must not permit any third party to:

  • Copy, reproduce, distribute, sell, lease, sublicense, rent, or otherwise transfer the Service (or any portion of it) except as expressly authorized in writing by us.
  • Modify, create derivative works from, or translate the Service, except to the extent expressly permitted by applicable law and only if you first comply with any required notice or process.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, algorithms, structure, or trade secrets of the Service.
  • Attempt to bypass or circumvent access controls, security features, rate limits, authentication, or other technical safeguards.
  • Scrape, crawl, index, harvest, or otherwise access data from the Service (including via automated means) except when we expressly provide an API or written permission for such access.
  • Build, train, or deploy any competing product or service by using the Service or any of our materials.
  • Use the Service in any way that misrepresents you, misleads users, or violates any applicable law or regulation.

Any attempt to do the above is a material breach of these Terms. We may investigate violations and seek any remedies permitted by law.

5. Intellectual Property; Trademarks; No Unauthorized Name Use

The Service (including software, source code, object code, documentation, designs, APIs, and all related intellectual property) is owned by us or our licensors and is protected by intellectual property laws and international treaties. Except for the limited license in Section 3, no rights are granted.

You may not use our trade names, trademarks, service marks, logos, domain names, or other identifying marks (“Marks”) in any way that suggests endorsement, sponsorship, or affiliation, or that otherwise uses our Marks outside the scope of your approved marketing permissions. Misuse includes false attribution or any “powered by,” “endorsed by,” or similar claims without our prior written consent.

6. No False Usage; No Misrepresentation; No Impersonation

  • You agree not to make false or misleading statements about the Service, including claims that we endorse your products, services, organization, personnel, or outcomes.
  • You agree not to impersonate us or any of our employees, contractors, partners, or users.
  • You agree not to use the Service to provide, generate, or distribute content or information that is false, unlawful, or intended to deceive.
  • You agree not to claim medical, regulatory, or compliance status on behalf of us that you cannot substantiate, and not to represent the Service as a device or service that it is not.

7. Customer Responsibilities; Data; Compliance

You are responsible for the content and data you input or upload to the Service, and for ensuring that your use of the Service complies with applicable laws and regulations (including where relevant, privacy, confidentiality, and healthcare-related requirements).

To the extent applicable, you remain solely responsible for determining whether and how your use of the Service satisfies HIPAA and other regulations, obligations, and contracts that apply to you.

8. Fees; Payments (If Applicable)

If you have an agreement or subscription that includes fees, those fees are subject to the applicable terms provided to you at the time of purchase or onboarding.

For purchases processed by Paddle, refunds follow our published refund policy at /refund-policy, including a 14-day refund window.

9. Term; Suspension; Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms or acted in a manner harmful to the Service, other users, or us.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that the Service will be uninterrupted, secure, timely, accurate, complete, or error-free.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM (OR, IF YOU HAVE NOT PAID, ONE HUNDRED U.S. DOLLARS ($100)).

12. Indemnification

You agree to defend, indemnify, and hold harmless AtriaOS and our affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to your use of the Service, your violation of these Terms, or your violation of any applicable law.

13. Governing Law

These Terms are governed by the laws of [Your State/Country], without regard to conflict of law rules. You agree to submit to the jurisdiction of the courts located in [Your State/Country] for disputes arising from or relating to these Terms.
